Terms of Service

1. Acceptance
By accessing or using Yumebana (“the Service”) you agree to these Terms. The Service is operated by its founding team and is currently in pre-launch waitlist mode. Features described on the landing pages — including catalog access, escrow checkout, and fulfilment — are not yet generally available.
2. What the Service is
Yumebana is a B2B wholesale marketplace that matches Korean indie cosmetic brands (“Sellers”) with verified US-based small spa, esthetician, and beauty boutique buyers (“Buyers”, LA metro for cohort 1). Yumebana facilitates listings, brand-spa matchmaking, messaging, escrow checkout, document templates for Korean export self-service, MoCRA registration brokerage, and dispute mediation. Yumebana is a broker — Yumebana does not itself sell, hold inventory, ship, act as importer of record, run customs, or operate a consolidation point. The contract of sale is between Buyer and Seller.
3. Waitlists and early access
Joining a waitlist (buyer access or brand listing) is not a contract to purchase or to list. Yumebana makes no guarantee that the Service will be delivered on any particular schedule, at any particular price, or at all. Yumebana reserves the right to change pricing, features, or availability before general release. The published 5% fee for the first 20 brand listings is a stated intention, not a binding offer until a listing agreement is countersigned.
4. Verification
US-based Buyers must upload a valid CA seller's permit (or equivalent state business license) plus EIN, and pass an issuing-agency confirmation before wholesale-tier catalog access is unlocked. Trial Pack pricing is visible without verification. Sellers must provide a Korean business registration number that resolves against the Korean tax-office (국세청) public registry. Yumebana may suspend or remove accounts that misrepresent their identity or registration.
5. Acceptable use
You agree not to:
- Submit false information on waitlists, verification uploads, or listings
- List counterfeit, mis-branded, expired, or otherwise non-genuine cosmetic products
- Mis-declare cosmetic product contents, ingredients, or country of origin to customs
- Attempt to bypass rate limits, escrow, or access controls
- Scrape, reverse-engineer, or republish the Service or its catalog
- Use the Service to violate applicable export, import, sanctions, or cosmetic-regulatory law in either Korea or the destination country
6. Escrow and payment
Buyer payments are held in Stripe Connect escrow at the time of order. Funds are released to the Seller after the Buyer marks the order as received in-platform, or after seven (7) days from delivery confirmation without dispute, whichever is sooner. Yumebana settles to the Seller in KRW via Wise at mid-market exchange rate. Yumebana is not a bank, payment institution, or fiduciary; Stripe is the payments processor.
7. Customs, duties, and importer of record
The Buyer is the importer of record on the US side. The Buyer is responsible for US customs duties (HS 33.04 cosmetics — currently 15% MFN, eligible for 0% under Korea-US FTA preference), state and local sales tax, and any freight forwarder the Buyer chooses to engage. Yumebana never holds title or possession of the goods, never acts as the importer of record, and never operates customs filings. The Seller is responsible for Korean export filings and for ensuring the shipment qualifies for the Korea-US FTA preference where claimed. Yumebana may auto-generate brand-ready PDF templates (commercial invoice, packing list, KORUS Certificate of Origin) for the Seller to sign and submit, but does not file or sign on the Seller's behalf. MoCRA registration is the Seller's legal obligation; Yumebana brokers introductions to vetted US Responsible Person services but never signs as the legal Responsible Person.
8. Returns and dispute mediation
Buyers may flag damaged, expired, formula-incorrect, or otherwise defective items within seven (7) days of delivery. Yumebana mediates the dispute, allocates refund cost based on the cause (manufacturing, shipping, or buyer error) per a published policy, and refunds the Buyer's card within three (3) business days where Yumebana's mediation finds the Buyer's claim valid.
9. Fees
Buyer browsing and signup are free. Sellers list free; Yumebana charges 8% of the gross transaction value of closed deals (5% for the first 20 brand cohort during their first 12 months on the platform). Fees are deducted at settlement.
10. No legal, regulatory, or trade advice
Nothing produced or relayed by Yumebana — including catalog metadata, Hwahae review aggregates, ingredient summaries, customs documentation drafts, or dispute-mediation findings — constitutes legal, regulatory, financial, or trade advice. You are responsible for verifying every output and for engaging your own counsel where required.
11. Warranty disclaimer
The Service is provided “as is” and “as available” without warranty of any kind. Yumebana does not guarantee the availability of any specific brand, the accuracy of any third-party review data, or the fitness of any cosmetic product for a particular purpose.
12. Limitation of liability
To the maximum extent permitted by law, Yumebana's total liability to you for any claim arising out of or related to the Service will not exceed the greater of (a) the total commission Yumebana received from your transactions in the twelve (12) months before the claim arose, or (b) USD $100.
13. Changes
Yumebana may update these Terms. Material changes will be announced on this page with a new “Last updated” date and, where the change is materially adverse, by email to verified accounts.
